1. Acceptance of Terms

By accessing or using our website at www.mindgearstechnologies.com or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services

MindGears Technologies provides custom software development services, including but not limited to web application development, mobile application development, desktop application development, API development, cloud solutions, and software consulting. The specific scope, deliverables, timelines, and fees are defined in separate project agreements.

3. Intellectual Property

All content on this website is the property of MindGears Technologies and is protected by applicable intellectual property laws. You may not reproduce, distribute, or modify any content without our prior written consent.

Ownership of intellectual property created during a project is governed by the applicable project agreement. Unless otherwise specified, upon full payment the client receives ownership of custom deliverables, while MindGears Technologies retains ownership of pre-existing tools, libraries, and frameworks.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and truthful information.
• Use our website only for lawful purposes and in a manner that does not infringe on the rights of others.
• Not attempt to gain unauthorized access to our systems or networks.
• Provide timely feedback, content, and approvals as needed for project progress.

5. Limitation of Liability

To the maximum extent permitted by law, MindGears Technologies shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim shall not exceed the total fees paid for that specific engagement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during a project engagement. Confidentiality obligations survive the termination of any engagement.

7. Payment Terms

Payment terms are defined in individual project agreements. Unless otherwise agreed, invoices are due within 15 days of issuance. We reserve the right to pause work on projects with outstanding overdue payments.

8. Termination

Either party may terminate a project engagement in accordance with the applicable project agreement, or with 30 days' written notice. Upon termination, the client is responsible for payment for all work completed. Deliverables are provided upon receipt of final payment.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
